These Terms of Service (“Terms”) set out the conditions under which you may activate and use the AI Gateway Module within a third-party application that integrates the AI Gateway Module (the “Host Application”).

By activating or using the AI Gateway Module through a Host Application, you (“User” or “you”) acknowledge that you are entering into a binding legal agreement with UAB “Honeygain” (“company code 306103177, registered in Lithuania) (hereafter referred to as “Honeygain”, ‘we’, ‘us’, ‘our’) and consent to the installation of the AI Gateway Module on your device.

Your activation of the AI Gateway Module also confirms that you have reviewed and accepted our Privacy Policy and agree to be bound by its provisions.

If you do not agree to these Terms or the Privacy Policy, you must not activate or use the AI Gateway Module.

1. Eligibility and Restrictions

You may not activate or use the AI Gateway Module, or accept these Terms, if:

a) You have not reached the age of legal majority in your jurisdiction;
b) Applicable laws or regulations prohibit your use of the AI Gateway Module;
c) Your existing contractual obligations (including agreements with your internet service provider, mobile carrier, or other service providers) prevent you from entering into agreements of this nature; or
d) You intend to use the AI Gateway Module for competitive analysis or similar purposes, including monitoring its availability, performance, or functionality.

2. AI Gateway Module Functionality

When you install the AI Gateway Module, you join the user network operated by Honeygain and agree to allow Honeygain and its customers to route internet traffic through your connection. Honeygain’s customers remain anonymous to you, and you remain anonymous to them.

Traffic routed through your connection may be used by businesses for purposes such as:

• Advertisement verification (which may result in certain ads being displayed to you);
• Web data collection (which may increase captcha prompts);
• Accessing or supporting streaming services.

If you are using a streaming service while a customer accesses the same service through your connection, you may temporarily experience limited or interrupted access.

While Honeygain takes reasonable measures to reduce potential disruptions, you are solely responsible for ensuring that sharing your internet connection complies with all applicable laws, regulations, and contractual obligations.

By installing the AI Gateway Module and accepting these Terms, you acknowledge and agree to these potential uses of your internet traffic.

Honeygain reserves the right to modify, suspend, or discontinue the AI Gateway Module or any related services at its discretion, at any time, and without prior notice or liability.

3. Compatibility with Internet Service Providers

Some internet service providers may charge fees for data usage or related services associated with your use of the AI Gateway Module. Honeygain is not responsible for any data traffic fees or other costs incurred under your agreement with your provider.

Certain providers may restrict or prohibit applications similar to the AI Gateway Module. The Module may not comply with all provider policies. You are responsible for verifying with your provider that use of the AI Gateway Module is permitted before activating it.

4. Termination and Changes

Honeygain may terminate these Terms or your access to the AI Gateway Module at any time and for any reason, including any actual or suspected breach of these Terms. Honeygain shall not be liable to you or any third party for such termination.

You may terminate these Terms at any time by removing the Host Application and deleting all copies from your device.

Honeygain may also modify, suspend, or permanently discontinue the AI Gateway Module, in whole or in part, at its discretion, with or without notice and without liability.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, REGARDLESS OF THE CAUSE OR THEORY OF LIABILITY, INCLUDING NEGLIGENCE. THIS LIMITATION APPLIES EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

HONEYGAIN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED $200 OR THE MAXIMUM AMOUNT PERMITTED BY APPLICABLE LAW, WHICHEVER IS GREATER.

6. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable while preserving its intent. The remaining provisions shall remain in full force and effect.

Honeygain may update these Terms from time to time by publishing a revised version on its website and notifying you. Updates become effective 14 days after notice. If you do not agree to the revised Terms, you must disable the AI Gateway Module within the Host Application and remove the Host Application from your device. Continued use after the 14-day notice period constitutes acceptance of the updated Terms.

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision. If any provision is deemed unlawful, void, or unenforceable, it shall be severed without affecting the remaining provisions.

You may not assign, transfer, or sublicense your rights or obligations under these Terms. Any attempted assignment may result in termination without liability to Honeygain. Honeygain may assign these Terms to an affiliate or successor entity upon reasonable prior notice.
